Student Research Group End-User Terms of Service

  • End User Terms of Service 

Compact Information Systems, LLC d/b/a “Student Research Group” (“Student Research Group,” “we,” “us,” or “our”) provides You access to our proprietary platform application, including, website (mobile device and computer browser accessible), digital subscription services, or portal access (“Services”), and the following terms and conditions of this end user license agreement (“Agreement”), which may be updated by us from time to time as provided for below. 

 

CAREFULLY READ THIS AGREEMENT AND ANY APPLICABLE SERVICES DOCUMENTATION BECAUSE THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS.  THIS AGREEMENT REQUIRES YOU TO GRANT US CERTAIN CONSENTS REGARDING THE USE OF YOUR PERSONAL DATA/INFORMATION, OTHER RIGHTS AND LICENSES AND LIMIT OUR LIABILITY AND OBLIGATIONS TO YOU. BY ACCESSING AND/OR USING OUR SERVICES, OR BY CLICKING OR CHECKING A BOX INDICATING “I AGREE,” “I ACCEPT,” OR ANY SIMILAR EXPRESSION OF AGREEMENT WHILE PURCHASING OR OBTAINING ACCESS TO AND/OR USE OF OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT AND OUR SEPARATE APP PRIVACY POLICY, LOCATED AT https://deepsync.com/privacy-policy/ (THE “PRIVACY POLICY”). DO NOT USE THE SERVICES IF YOU DO NOT AGREE TO THE PRIVACY POLICY. 

 

IF YOU ACCEPT THE AGREEMENT ON BEHALF OF Al,;NY OTHER PERSON, LEGAL ENTITY, OR OTHER ORGANIZATION THAT IS ACTUALLY STUDENT RESEARCH GROUP’S CUSTOMER, THEN YOU REPRESENT TO STUDENT RESEARCH GROUP THAT YOU ARE LEGALLY AUTHORIZED TO ACCEPT THE AGREEMENT FOR THAT CUSTOMER, AND “YOU” OR “YOUR” AS USED IN THE AGREEMENT THEREFORE ALSO INCLUDES THOSE OTHER PERSON(S), LEGAL ENTITIES OR OTHER ORGANIZATION(S) WHO ARE THE ACTUAL CUSTOMER AND ON WHOSE BEHALF YOU ARE ACTING. This Agreement is supported by good and valuable consideration that includes, without limitation, Your use of the Services and the services, materials, data, and information available there.  

  • Definitions:

“Content” means the text, trademarks, logos, images, graphics, data and information displays, photos, video files, application functionality, or any other digital media, and their arrangement on Services. 

 

“Licensor” means Student Research Group.

 

“Services” means services that You subscribe to  for access to the online, Web-based Student Research Group Education Platform, including the software as a services applications provided by Student Research Group and for which You subscribe or register, including any maintenance and support services for these applications.

 

“Student Research Group Education Platform” means the dashboard service as described on the registration portal that is provided as a service by Student Research Group and collectively represents all current versions of the product.

 

“Subscription Term” is a subscription period indicated in the registration process for the Services, in the Agreement when You can use Services provided by Student Research Group, or otherwise until You or Student Research Group terminate the Agreement.

 

“Term” means collectively the subscription term for Your access and use of the Services.

 

“User” means You as the individual authorized to use the Services, and for whom subscriptions to the Services have been ordered. You as a User must also have valid access credentials including a user identification and passwords created by You.

 

“You,” “Your,” or “Subscriber” means the individual accepting this Agreement and any organization or entity engaging or employing such individual and on whose behalf such individual accepts this Agreement.

 

“Your Data” means electronic data and information, compiled and/or submitted by or for You to Student Research Group in connection with the Services or collected and processed by or for You using the Services.

  • Access and Use Rights

Subject to the terms of this Agreement, Student Research Group as Licensor grants to You as Subscriber during the Subscription Term, a non-sublicensable, non-transferable, worldwide, non-exclusive right to access and use the Services in accordance with this Agreement (“Agreement”). You may use Services solely for Your educational research purposes. Access to the Services is licensed for access and use, and under no circumstances is sold. This License confers no title or ownership in the Services and should not be construed as a sale of any rights in the Services or source code in the Services, including the Student Research Group Platform.

  • Your Responsibilities 

You shall (i) be responsible for Your compliance with this Agreement, (ii) be responsible for the accuracy, quality and legality of Your Data and of the means by which You acquired Your Data, (iii) use commercially reasonable efforts to prevent unauthorized access to or use of the Services (iv) use the Services only in accordance with this Agreement and applicable laws and government regulations. You shall not (a) make the Services available to anyone other than Yourself, (b) sell, resell, rent or lease the Services, (c) knowingly or intentionally use the Services to store or transmit infringing, libellous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights, or (d) You may not reproduce, distribute, publicly display, publicly perform, create derivative works, publish, transmit Content or any element of the Services, except as permitted by this Agreement.

  • User 

You may access and use the Services as permitted in the registration portion of the Services and the Agreement. Your Services rights to access and use the Services under this Agreement is personal to You as the User, and cannot be shared with additional Users beyond the individual specified on Your registration for the Services. If You wish to add additional users during the Subscription Period, each user must register within the Services. Upon registration, Student Research Group shall make Services available to the additional users on the terms and conditions set forth in this Agreement .

  • Limited License

Access to and uses of the Services are solely for Your access to the Services, including the Student Research Group Education Platform and Content. You may not circumvent, disable or otherwise interfere with security-related features of the Services, including, without limitation, altering or bypassing any features that prevent or restrict use or copying of any Content or enforce limitations on the use of the Services. You may not reproduce, distribute, publicly display, publicly perform, create derivative works, publish, transmit Content or any element of the Services, except as permitted by this Agreement. All other Student Research Group rights are expressly reserved.

  • Use Limitations and Restrictions 

Services may be subject to both internal and external limitations. Internal limitations are controlled by Student Research Group, and Student Research Group may apply internal limitations in its sole and absolute discretion, including without limitation to ensure the most efficient use of its resources for the Services.  Any such limitations are specified in this Agreement or within the Services. External limitations are imposed by parties outside the control of Student Research Group and may impact the Service. External limitations are subject to change without notice from Student Research Group and You accept that they may negatively impact the Service. 

 

You agree that Your decision to register and use the Services is solely for current features and functionality and not contingent on delivery of any new or prospective features or functionality even in the case where Student Research Group has communicated in writing, verbally or visually regarding any future features or functionality.

  • Intellectual Property and Personal Data

Trademarks.

 

The trademarks, trade names, trade dress, logos, and service marks (collectively, the “Trademarks”) displayed on this Services are the registered and/or unregistered Trademarks of Student Research Group, or such other third party that may own the displayed Trademarks. Nothing contained on this Services or in this Agreement serves to grant to You, by implication or otherwise, any license or right to use any Trademarks displayed on this Services without the written permission of Student Research Group or such other third party that may own the displayed Trademarks.

 

Site Contents and Copyright.

 

All Services Content is subject to patent, copyright, trademark and other intellectual property protection. Content may not be copied for commercial use or redistribution, nor may Content be modified, processed, or reposted to other Services. Your access to and use of the Services is solely for You to research educational institutions and to find and access information about other education related resources, including without limitation communicating with Student Research Group and third parties providing products and services to educational institutions and their existing and prospective students. No right, title or interest in any Services Content is transferred to You as a result of any downloading, copying, printing or use of this Services. All rights not expressly granted to You by this Agreement are reserved. 

 

Personal Data Uploaded to the Services.

 

Certain types of student data and records are protected under the Family Educational Rights and Privacy Act (FERPA). FERPA addresses “Directory Information” which includes the student’s name, address, telephone listing, electronic mail address, photograph, date and place of birth, major field of study, grade level, enrollment status (e.g., undergraduate or graduate, full-time or part-time), dates of attendance, participation in officially recognized activities and sports, weight and height of members of athletic teams, degrees, honors, and awards received, and the most recent educational agency or institution attended, and “Education Records” which includes those records created by an educational agency or institution directly related to a student that are maintained by an educational agency or institution or by a party acting for the agency or institution. By uploading Your Data to the Services and accepting this Agreement, You authorize Student Research Group to process and consent to Student Research Group processing Your Data in accordance with this Agreement, including to the extent Your Data includes any Directory Information, Education Records or both. 

 

Non-Endorsement Disclosures and Testimonial Disclaimer.  

 

In the limited circumstances where Student Research Group permits third-party links on the Services from any digital service that is not commercially-adverse with the Services and does not criticize or otherwise injure us, so long as the digital service accessed via the link resides, and all other locations to which such digital service links, comply with all applicable laws.  Notwithstanding anything to the contrary contained in the Agreement or any applicable additional terms, we reserve the right to prohibit and/or remove or disable linking to the Services for any reason, in our sole and absolute discretion, even if the linking complies with the requirements described above. All of Student Research Group’s rights and remedies are expressly reserved.

 

Although third-party links may be posted on the Services, the posting of those links or associated content, including testimonials and third-party endorsements, does not constitute Student Research Group’s endorsement of such material. Similarly, although third-party products and services may be sold or purchased via links on the Services, the sale and purchase of those products and services does not constitute Student Research Group’s endorsement of the same. Student Research Group is not responsible or liable for any claim, including, without limitation, loss or injury to real, tangible, or intellectual property, violations of personal privacy or privacy rights, data loss or theft, actual, direct, indirect, incidental, consequential or punitive damages, personal injury, or wrongful death in connection with third-party websites, digital services, content, or products and services.

 

The digital services associated with third-party links on the Services may be located in different countries, and those digital services and the products or services offered on those services are likely to be subject to the hosting country’s regulatory or product requirements. Please review carefully the third party’s terms and conditions, policies and practices, and make sure you understand them before you engage in any such third-party transaction. Complaints, claims, concerns, or questions regarding third-party products or services should be directed to the third party. 

  • Prohibited Uses

You are prohibited from using the Services or its Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to stalk, bully, harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services, other services, third-party devices, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Services, other services, third-party devices, or the Internet. We reserve the right to terminate Your account or otherwise deny You access to the Services in our sole discretion for any or no reason without notice and without liability.

  • User Registration

In order to access or use some of the features of the Services, You may have to become, and remain opted-in as a registered User.  To access and use the Services You will be required to create unique login credentials that You are responsible to secure. You will be responsible for all activity on or related to Your account that occurs via access based on Your login credentials.  Student Research Group may disable User access if there has been no User activity with the Services for thirty (30) or more days.

 

Under this Agreement, You agree to: (a) create only one account; (b) provide accurate, truthful, current and complete information when creating Your account; (c) maintain and promptly update Your account information; (d) maintain the security of Your account by not sharing Your username or password with others and restricting access to Your account and Your and any device from which You access the Services; (e) promptly notify us if You discover or otherwise suspect any security breaches relating to Your account or the Services at: [email protected]; (f) not sell, transfer or assign Your username and password; and (g) accept sole responsibility for all activities that occur under Your username and password whether or not You have authorized the activity.

  • Indemnification

YOU AGREE TO INDEMNIFY AND HOLD STUDENT RESEARCH GROUP ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, BUSINESS PARTNERS AND AFFILIATES HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, COSTS AND EXPENSES, INCLUDING ATTORNEY FEES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR BREACH OF THIS AGREEMENT.  YOU AGREE TO COOPERATE FULLY WITH US IN DEFENDING ANY CLAIM THAT IS THE SUBJECT OF YOUR OBLIGATIONS UNDER THIS AGREEMENT.

  • Warranty

YOU, REGARDLESS OF YOUR STATUS AS A USER, SUBSCRIBER OR USER (“YOU” OR “YOUR”), AGREE THAT THE SERVICES ARE PROVIDED “AS IS”.  YOU FURTHER AGREE THAT YOU BASED YOUR DECISION TO ACCESS AND USE THE SERVICES SOLELY ON EXISTING FEATURES AND FUNCTIONALITY. STUDENT RESEARCH GROUP HAS MADE NO PROMISE TO YOU OR ANYONE ELSE, NOR IS THERE ANY EXPECTATION, THAT THE SERVICES ARE CAPABLE OF OR WILL BE CAPABLE OF PERFORMING ANYTHING OVER AND ABOVE WHAT IS PROVIDED IN THE SERVICES. YOU ACKNOWLEDGE AND ASSUME THE RISK OF OUTAGES AND FUTURE INCOMPATIBILITIES MAY ARISE BETWEEN THE SERVICES AND ANY DEPENDENT OR INDEPENDENT COMPUTER APPLICATIONS, PLATFORMS OR SYSTEMS, AND YOU ASSUME ALL RISK THAT ANY SUCH DEPENDENCIES COULD AFFECT THE SERVICES IN UNINTENDED, UNDESIRABLE WAYS OR RENDER THE SERVICES INOPERABLE. TECHNOLOGIES PROVIDED BY THIRD PARTY VENDORS INCLUDING INTERNET CONNECTIVITY MAY INTRODUCE CHANGES THAT HAVE UNINTENDED CONSEQUENCES AND RESULT IN THE SERVICES BECOMING UNUSABLE. YOU ASSUME ALL SUCH RISK.  STUDENT RESEARCH GROUP DOES NOT WARRANT THAT SERVICES WILL BE PROVIDED ERROR-FREE, UNINTERRUPTED, OR COMPLETELY SECURE.

  • Limitation On Liability

YOU ACKNOWLEDGE, BY YOUR USE OF THE SERVICES: (1) THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK; (2) THAT YOU ASSUME FULL RESPONSIBILITY FOR ALL COSTS ASSOCIATED WITH ALL NECESSARY SERVICING OR REPAIRS OF ANY EQUIPMENT THAT YOU USE IN CONNECTION WITH YOUR USE OF THE SERVICES; AND (3) THAT STUDENT RESEARCH GROUP WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, DATA CORRUPTION OR ADULTERATION, FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, COMPUTER VIRUS, OR NETWORK OR INTERNET FAILURE, OR INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, COMPENSATORY OR CONSEQUENTIAL DAMAGES, LOST PROFITS AND/OR LOSS OF OR DAMAGE TO PROPERTY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER BASIS, EVEN IF STUDENT RESEARCH GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

 

FURTHERMORE, YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH THE SERVICES, THIS AGREEMENT OR APPLICABLE SPECIFIC PRODUCT OR SERVICES TERMS MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE EVENT GIVING RISE TO THE CLAIM OR CAUSE OF ACTION. FAILURE TO BRING THE CLAIM OR CAUSE OF ACTION WITHIN THE ONE (1) YEAR PERIOD SHALL RESULT IN THE CLAIM OR CAUSE OF ACTION BEING PERMANENTLY BARRED.

 

BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, STUDENT RESEARCH GROUP, ITS PARENT’S, SUBSIDIARIES’, AFFILIATES’, AGENTS’, BUSINESS PARTNERS’ LICENSORS’ AND SUPPLIERS’ DAMAGES IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

  • Term and Termination

This Agreement commences on the date You sign below and continues until all User subscriptions granted in accordance with this Agreement have expired or been terminated. User subscriptions commence on the start date specified during Your registration or via a confirmation email and continue for the term specified therein or until terminated by You or Student Research Group.

 

We reserve the right in our sole discretion to terminate Your access to the Services for cause: (i) at any time following 5 business days written notice to You of a material breach of this Agreement if such breach remains uncured at the expiration of such period, or (ii) if You become the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors.

 

Sections (Services), (Term and Termination), (Intellectual Property), (Limited Liability), (Warranty), (Indemnification), (Severability), and (Governing Law, Jurisdiction, Venue and Notices) shall survive any termination or expiration of this Agreement.

 

If You become a registered user, You may terminate Your registration at any time by sending an e-mail to [email protected].

 

Any suspension or termination shall not affect Your obligations under this Agreement.  The provisions of this Agreement which by their nature should survive the suspension or termination of Your account or this Agreement shall survive, including, without limitation, the rights and licenses that You have granted hereunder, indemnities, releases, disclaimers, limitations on liability, provisions related to choice of law, dispute resolution, and all of the miscellaneous provisions.  Upon suspension or termination of Your Account, You will immediately discontinue use of the Services Content and destroy any copies of Services Content in Your possession, including deleting any downloaded Services Content from the device You used to access and use the Services.

  • Choice Of Law; Jurisdiction And Venue

This Agreement shall be construed in accordance with the laws of the State of Washington without regard to its conflict of laws rules.  Any legal proceedings against Student Research Group that may arise out of, relate to, or be in any way connected with our Services, this Agreement or applicable Specific Product or Services Terms, shall be brought exclusively in the state and federal courts located in King County, Washington and You waive any jurisdictional, venue, or inconvenient forum objections to such courts.

  • Miscellaneous

Events Beyond Our Control.

You expressly release Student Research Group from any claim of harm resulting from a cause beyond our control, including, without limitation, failure of electronic or mechanical equipment or communication lines, Access Devices, telephone or other interconnect problems, computer viruses, unauthorized access, theft, operator errors, severe weather, earthquakes, or natural disasters, strikes, or other labor problems, wars or governmental restrictions.

 

Assignment. 

You may not assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without the Student Research Group’s prior written consent (not to be unreasonably withheld). Student Research Group may assign this Agreement in its entirety in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

 

Consent to Electronic Communications.

BY REGISTERING VIA THE SERVICES OR BY SENDING E-MAILS OR TEXT MESSAGES TO US, YOU ARE COMMUNICATING WITH US ELECTRONICALLY. AND IN DOING SO, YOU EXPRESSLY OPT-IN AND CONSENT TO OUR USE OF THE PERSONAL DATA THAT YOU SUBMIT, AND CONSENT TO RECEIVE COMMUNICATIONS FROM US ELECTRONICALLY. YOU MAY OPT-OUT OF THE SALE OR SHARING OF SUCH DATA UNDER OUR PRIVACY POLICY. WE WILL COMMUNICATE WITH YOU BY E-MAIL, TEXT MESSAGE, OR BY POSTING NOTICES ON THE SERVICES. YOU AGREE THAT ALL AGREEMENTS, NOTICES, DISCLOSURES AND OTHER COMMUNICATIONS THAT WE PROVIDE TO YOU ELECTRONICALLY SATISFY ANY LEGAL REQUIREMENT THAT SUCH COMMUNICATIONS BE IN WRITING.

 

Severability.

If any one or more of the provisions contained in this Agreement, Privacy Policy, Mobile Text Disclosure, Specific Product or Services Terms shall for any reason be found to be invalid, illegal or unenforceable in any respect, said finding shall not affect the remaining provisions, which shall be enforceable to the fullest extent permitted by law, provided that such severance does not alter the fundamental benefit of the bargain to either party.

 

Entire Agreement and Conflicting Terms.

This Agreement represents the entire agreement between You and Student Research Group with respect to the Portal-Based-Services and supersedes any and all prior or contemporaneous communications, representations, statements, agreements and understandings, whether in oral, written or electronic form, between You and Student Research Group concerning the use of this Services. 

 

No Assignment or Third Party Beneficiaries.

No provision of this Agreement is intended to create, or creates, any rights in or benefits to any third party. 

 

Notices.

Except as otherwise specified in this Agreement, all notices, permissions and approvals hereunder shall be in writing and shall be deemed to have been given upon: (i) personal delivery, (ii) the second business day after mailing, (iii) the first business day after sending by email (provided email shall not be sufficient for notices of termination or an indemnifiable claim).  If to Student Research Group:
